Meet Barbara Rhomberg

Barbara Rhomberg provides experienced and cost-effective counsel for nonprofit, tax-exempt organizations and their donors. Barbara’s practice focuses on nonprofit organization law and charitable giving.  She works with nonprofit organizations, their founders, and their donors on the formation of nonprofits, nonprofit governance, obtaining and maintaining tax-exempt status, and planned and charitable giving.   Her clients include:

Before she was an attorney, Barbara was a nonprofit administrator.  That experience taught her the value of knowledgeable legal counsel.  Now, after two decades as an attorney focused on nonprofit organizations, Barbara helps large and small nonprofit organizations navigate the unique tax and compliance issues that nonprofits face.  Every client receives her hands-on and personal service.

Barbara lives in the San Francisco Bay Area, and represents clients throughout California.

Barbara helps nonprofit Board members and leaders to navigate governance issues, such as revising Bylaws, managing conflicts of interest when approving transactions, creating Board committees or policies, or making structural changes including charter amendments, mergers, dissolutions, or affiliations with other nonprofits.

Barbara works with founders and philanthropists to establish new nonprofit organizations and foundations, guiding them step by step through a process that includes decisions about the structure and purpose of the new nonprofit, drafting governing documents, preparing IRS exemption applications, and filing the registrations needed to comply with California laws for tax-exempt and charitable organizations.

Tax-Exempt Status

Barbara assists nonprofits with applications for tax-exempt status, and advises exempt organizations on tax compliance and the requirements to maintain their tax exemption.  Many of her clients are 501(c)(3) charities and foundations, but she also works with social welfare organizations, unions, professional and business organizations, social clubs, and political organizations.

Charitable Giving

Barbara advises philanthropists on complex charitable gifts and the tax rules for charitable deductions, and drafts charitable remainder trusts and gift agreements.  She also advises charities regarding endowments funds, gift acceptance policies, and planned giving issues.
